Biometric Notice

FS Vector LLC (“Licensing” and “us”) provides comprehensive licensing services for financial services companies (each a “Company”). We understand that the undersigned (“you”) are or will become a director or executive officer of, or otherwise serve in a position of control for, the Company. Directors, executive officers, and similar individuals that serve in a position of control for the Company are considered control persons. Certain jurisdictions require control persons for financial services companies to supply fingerprints in connection with obtaining and maintaining company licensure. If a Company’s application(s) or maintenance of existing licensure requires the submission of fingerprints, Licensing will refer you to a third-party fingerprinting service in order to allow you to obtain the physical copies of your fingerprints that are needed for such Company’s application or maintenance of the license(s). With your permission, the third-party fingerprinting service will send us the physical copies of your fingerprints, which we will maintain on behalf of you and such Company until the fingerprints are needed in connection with such Company’s licensure or their designated retention period otherwise expires.

You may choose to obtain only the number of physical copies of your fingerprints needed for the current licensing event or, for your convenience, you may choose to obtain up to three additional physical copies of your fingerprints to be maintained by Licensing for use in the future.

Licensing will submit the necessary physical copies of your fingerprints to the relevant licensing authority as a part of a Company’s new licensure or licensing maintenance and may scan a copy of the physical fingerprints in order to create an electronic record of the submission on such Company’s behalf (as required by law).

Licensing will only use the physical and electronic copies of your fingerprints to provide you and the Company the licensing services requested and will only share the physical and electronic copies of your fingerprints with you, the relevant Company, the relevant licensing authority, or otherwise with your permission. Licensing will store your fingerprints for three years and you agree that the purpose of collecting of your fingerprint is satisfied after such storage for three years after Licensing obtains your fingerprints, unless your request otherwise. These stored fingerprints may be used for submitting necessary copies to relevant licensing authorities with your permission and at your request as well as maintaining documentation of the submission process.

Licensing will retain the physical and electronic copies of your fingerprints only as long as necessary to provide you and the relevant Company the licensing services you have requested, including retaining fingerprints as a part of the electronic record required to be retained by law. Unless a longer retention period is required by law, physical and electronic copies of your fingerprints will be permanently destroyed upon the earlier of (i) three years from the time Licensing obtains the fingerprint or (ii) when the purpose of collecting the fingerprint is satisfied.
